TERMS OF SERVICE

One ITC

Effective Date: 1 January 2026

  1. Introduction

These Terms of Service govern the provision of services by One ITC to its clients.

By engaging our services, you agree to these terms.

  1. Services

We provide:

  • IT support and managed services
  • Network design and installation
  • Hosting and cloud infrastructure
  • Web design and development
  • SEO and digital services
  • Automation and smart systems
  1. Service Agreements
  • Services may be provided on a project basis or ongoing contract (retainer/managed service)
  • Scope, pricing, and deliverables will be defined in a proposal or agreement
  1. Client Responsibilities

The Client agrees to:

  • Provide accurate information and access where required
  • Maintain appropriate backups unless otherwise agreed
  • Ensure lawful use of systems and services
  • Not misuse services for illegal, harmful, or abusive purposes
  1. Fees & Payment
  • Fees are as agreed in writing
  • Invoices are payable within [7/14/30] days
  • Late payments may result in:
    • Suspension of services
    • Interest and recovery costs
  1. Hosting & IT Services

6.1 Availability

We aim for high availability but do not guarantee uninterrupted service.

6.2 Maintenance

Scheduled maintenance may occur with reasonable notice.

6.3 Backups

Unless explicitly included:

  • The Client is responsible for backups
  • Backup services can be added separately
  1. Acceptable Use

Clients must not use our services to:

  • Distribute malware or harmful content
  • Conduct unlawful activities
  • Breach intellectual property rights
  • Interfere with network integrity

We reserve the right to suspend services for violations.

  1. Data Protection
  • We act as a data processor where applicable
  • Our Data Processing Agreement (DPA) applies
  • Clients remain responsible as data controllers
  1. Intellectual Property
  • All pre-existing IP remains the property of its owner
  • Custom work is licensed or assigned as agreed
  • We retain rights to underlying tools, frameworks, and methodologies
  1. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for:
    • Indirect or consequential losses
    • Loss of profits, data, or business interruption
  • Our total liability is limited to:
    • The fees paid for the relevant service period
  1. Cybersecurity Disclaimer

While we implement strong security measures:

  • No system is 100% secure
  • We do not guarantee prevention of all cyber incidents
  • Clients should maintain appropriate internal security practices
  1. Termination

Either party may terminate:

  • With written notice (as agreed in contract), or
  • Immediately for breach of terms

Upon termination:

  • Services may cease
  • Outstanding fees become payable
  1. Force Majeure

We are not liable for failure caused by events beyond our control (e.g. outages, natural events, third-party failures).

  1. Confidentiality

Both parties agree to keep confidential information secure and not disclose it without consent.

  1. Governing Law

These Terms are governed by the laws of England and Wales.
